Project Company (SPV):
The foundation of CSTAR’s governance model is the Project Company, a Special Purpose Vehicle (SPV) established in Dubai, United Arab Emirates. The SPV serves as the central entity responsible for managing project ownership, financing, and execution. It provides a robust operational and financial platform that supports all project activities while maintaining compliance with international standards and local regulations.

 

Board of Directors (BoD):
The Board of Directors, composed of representatives from key stakeholders, provides strategic leadership and oversight for the Project Company. Headed by the Chairperson, the Board ensures that CSTAR’s vision, policies, and long-term strategies are effectively implemented. It plays a pivotal role in guiding the organization’s direction, safeguarding stakeholder interests, and ensuring adherence to the highest standards of corporate governance.

 

Joint Management Committee (JMC):
Reporting to the Board of Directors, the Joint Management Committee (JMC) functions as the strategic and supervisory body for project development and operations. The JMC facilitates coordination between partners, evaluates project performance, and provides key approvals for operational and financial decisions. Regular partner meetings foster transparency, accountability, and alignment with the company’s strategic objectives.

 

Joint Operating Company (JOC):
The Joint Operating Company (JOC) serves as the operational arm of CSTAR, entrusted with the day-to-day management and execution of projects. It oversees engineering, construction, production, and logistics activities to ensure operational efficiency and technical excellence. The JOC embodies CSTAR’s commitment to safety, quality, and performance—turning strategic plans into successful project outcomes.
